These terms are an agreement between OTTO Homes, Inc. dba Milo ("Milo") and the lender, bank, credit union, or other company using Milo's services, including its branches, teams, and loan officers ("you"). They apply whether you buy from Milo directly or through an authorized Milo reseller (a "Partner"). You accept them by signing an order form that references them, clicking to accept, or using the services after notice of them.
1. Direct and Partner customers
If you buy directly from Milo, your signed order form sets pricing and term and controls over these terms if they conflict.
If you buy through a Partner, the Partner sets and bills your price under its own contract with you; Milo does not bill you. These terms govern your use of the services, data protection, security, and acceptable use. A Partner cannot change these terms or make commitments on Milo's behalf.
2. The services
The services are the Milo products you are enrolled in, which may include home value reports and home search sites delivered to your clients under your brand, engagement and in-market monitoring with alerts to your loan officers, AI-powered follow-up as you configure it, the Premium Monitoring Bundle (IntentIQ, LifeIQ, ListingIQ), and per-alert products (DebtIQ, CreditIQ). Milo will use commercially reasonable efforts to provide them as described in its documentation and may update and improve them. Records that cannot be matched to a property are not enrolled. Support: support@mymilo.ai.
3. Your responsibilities
- Use the services only in compliance with applicable law, including consumer protection, privacy, fair lending, and marketing laws.
- Provide only information about your own current or former clients, each with a valid contact method, and confirm you have the rights, notices, and consents the law requires to share it with Milo and to send the communications you direct, including email, text, and AI-powered follow-up.
- Confirm you have all permissible purposes, authorizations, and consents required under the Fair Credit Reporting Act and other law to receive and use credit-related alerts such as CreditIQ and DebtIQ. Do not use any output of the services for underwriting, eligibility, pricing, adverse action, collateral valuation, or any other credit decision. Use life-event information only for lawful marketing and relationship purposes and never in a discriminatory manner.
- Treat home value estimates as automated estimates, not appraisals.
- Do not reverse engineer, copy, resell, scrape, or bulk-extract the services or their outputs, or use them for anyone other than you.
- Keep your credentials secure and tell Milo promptly of any unauthorized access.
4. Your data
You own the information about your clients that you or your Partner submit to Milo ("Lender Data"). Milo processes it as your service provider, only to provide, secure, support, and improve the services, as permitted by the Gramm-Leach-Bliley Act and other applicable law. Milo will not sell Lender Data, disclose your identifiable data to another lender, or use it to market mortgage products to your clients for anyone but you. If more than one lender submits the same client, Milo may apply deduplication rules that favor the most recent transaction so the client is not over-messaged.
Milo may share account, usage, and billing information with your Partner as needed to serve and bill you, and borrower-level Lender Data only as you authorize. Milo may use data about the operation of the services for its own purposes, sharing it outside Milo only in aggregated, de-identified form.
Milo maintains a written information security program with safeguards no less protective than the FTC Safeguards Rule (16 C.F.R. Part 314) and may use subprocessors bound by appropriate confidentiality and security obligations. Milo will notify you without undue delay, and within 72 hours, after confirming unauthorized access to Lender Data, and will honor opt-outs received through the services within the time required by law. If a consumer asks Milo directly to stop communications or delete their information, Milo may do so and will tell you.
When your use ends, Milo stops sending reports to your clients, removes your branding, and deletes or returns Lender Data within 60 days of your written request, except for routine backups and records it must keep by law. A client who created their own Milo account may keep it, and Milo will not use that relationship to market mortgage products for another lender.
5. Ownership and confidentiality
Milo owns the services and all improvements to them, including improvements based on your feedback. You own your brand and Lender Data. Milo will not use your name or logo publicly without your written approval. Each party will protect the other's non-public business information with reasonable care and use it only under these terms.
6. Suspension and termination
Milo may suspend the services if reasonably necessary to address a security threat, unlawful use, a material breach of these terms, or nonpayment by you or by your Partner for your account, and will restore them once resolved. Either party may terminate on 30 days' notice for an uncured material breach. Your subscription term is set by your order form or Partner contract. Sections 4 through 9 survive.
7. Disclaimer
Except as expressly stated in these terms or an order form, the services are provided "as is" and "as available," and Milo disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Milo does not guarantee that the services will be uninterrupted or error-free, that third-party data will be accurate or complete, or that the services will produce any particular engagement, leads, loans, or revenue.
8. Indemnification and liability
Milo will defend you against third-party claims that the services, as provided by Milo and used under these terms, infringe a U.S. patent, copyright, or trademark or misappropriate a trade secret, or that arise from Milo's breach of Section 4, and will pay resulting damages and approved settlements. You will defend Milo against third-party claims, including regulatory proceedings, arising from your breach of Section 3, and will pay resulting damages, fines, penalties, and settlements. The defending party controls the defense and settlement, with no admission of fault imposed on the other without its consent.
Except for fraud or willful misconduct, neither party is liable for indirect, incidental, special, consequential, or punitive damages or lost profits. Each party's total liability under these terms will not exceed the greater of $10,000 or the fees paid or payable to Milo for your use of the services in the 12 months before the claim, except that Milo's liability for breach of Section 4 will not exceed three times that amount. These limits do not apply to your payment obligations, your indemnification obligations, fraud or willful misconduct, or liability that cannot be limited by law.
9. General
Milo may update these terms by posting a new version and giving at least 30 days' notice of material changes by email or in the services. Changes are not retroactive and do not override a signed order form during its current term. Connecticut law governs, and the state and federal courts in New Haven County, Connecticut have exclusive jurisdiction. The parties are independent contractors. Partners are not third-party beneficiaries. Your account administrator may add, remove, and reassign users and clients within your account; a loan officer who leaves you keeps no rights to your clients in the services unless you direct otherwise. You may not assign these terms except to a successor to your business. If a provision is unenforceable, the rest remains in effect. Notices to Milo: support@mymilo.ai.
